Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, software, and services provided by TaxOikos LLC (“TaxOikos,” “we,” “us,” or “our”). By creating an account, purchasing access, or using TaxOikos, you agree to these Terms. If you are using TaxOikos on behalf of an organization, you represent that you have authority to bind that organization.

1. What TaxOikos is — and is not

TaxOikos is: a software platform that helps you organize tax and financial documents, visualize income and expenses, and use artificial intelligence to extract information from documents and highlight potential issues or opportunities based on the data you provide.

TaxOikos is not: a law firm, CPA firm, enrolled agent practice, tax preparation service, or substitute for professional tax advice. TaxOikos does not prepare or sign tax returns, represent you before the IRS, or guarantee compliance with tax law.

2. Eligibility and accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use TaxOikos. You agree to provide accurate registration information and to keep your credentials secure. You are responsible for all activity under your account. Notify us immediately at support@taxoikos.com of any unauthorized use.

3. Acceptable use

You agree not to:

• Use TaxOikos for any unlawful purpose or in violation of applicable tax, financial, or privacy laws;
• Upload malware, attempt to breach security, scrape the service in violation of these Terms, or interfere with other users;
• Upload documents or data you do not have the right to use or that infringe others’ rights;
• Reverse engineer, decompile, or attempt to extract our models or source code except where applicable law forbids this restriction;
• Use AI outputs as a substitute for professional judgment where law or professional standards require a licensed advisor;
• Misrepresent AI-generated content as human professional advice from TaxOikos.

We may suspend or terminate access for violations.

4. Artificial intelligence — limitations

TaxOikos uses third-party AI (including Anthropic) to process documents and generate text. AI can make mistakes, omit information, or misread documents. Outputs are informational only. You must verify all figures against original documents and consult a qualified tax professional before relying on any conclusion for filing or planning. See our Disclaimer.

5. Fees, billing, and plans

Access to TaxOikos may be offered under various purchase options, including (as marketed from time to time on our website or checkout):

• Founder Tier 1 — $149 lifetime access (subject to product availability and offer terms at purchase);
• Founder Tier 2 — $199 lifetime access (subject to product availability and offer terms at purchase);
• Standard annual — $299 per year; or
• Standard monthly — $29 per month.

Exact prices, currency, taxes, and plan features are shown at checkout (for example via ThriveCart and/or Stripe). Recurring plans renew automatically until canceled according to the cancellation process in your customer portal. We may change future pricing for new purchases with notice; existing prepaid periods are generally honored for the term paid.

6. Refunds — lifetime / founder plans

For lifetime and founder purchases (including the $149 and $199 founder tiers described at checkout):

• You may request a full refund within thirty (30) days of the original purchase date if you have not materially abused the service (for example chargeback fraud or violation of Section 3).
• Refund requests must be sent to support@taxoikos.com with your purchase email and order reference.

7. Pay It Forward and non-refundable donations

If you participate in a “Pay It Forward” or similar optional add-on at checkout, that portion of your payment (or a separate donation line item) is a contribution to fund access for others and is non-refundable except where required by law. The base software purchase may still qualify for the 30-day refund in Section 6 if applicable; the Pay It Forward amount does not.

8. Subscription cancellation

For monthly or annual subscriptions, you may cancel through the customer portal or instructions we provide. Cancellation stops future charges; you typically retain access through the end of the current billing period unless stated otherwise at purchase.

9. Intellectual property

TaxOikos retains all rights in the software, branding, documentation, and content we create. We grant you a limited, non-exclusive, non-transferable license to use the service for your personal or internal business use according to your plan. You retain ownership of documents and data you upload; you grant us a license to host, process, encrypt, back up, and display that content solely to provide the service and as described in our Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TAXOIKOS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted.

12. Indemnification

You agree to indemnify and hold harmless TaxOikos LLC and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the service, your content, your violation of these Terms, or your violation of others’ rights.

13. Governing law and venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. You agree that exclusive jurisdiction and venue for disputes arising from these Terms or the service shall be in the state or federal courts located in Colorado, except where applicable law requires otherwise.

14. Dispute resolution; informal resolution

Before filing a claim, you agree to contact us at support@taxoikos.com to attempt to resolve the dispute informally for at least thirty (30) days. If we cannot resolve the dispute, either party may pursue remedies in the courts described in Section 13, unless you have a right to arbitrate under a separate written agreement.

15. Changes to the Terms

We may modify these Terms at any time. We will post the updated Terms with a new “Last updated” date. For material changes, we will provide additional notice where required by law. Continued use after the effective date constitutes acceptance unless applicable law requires express consent.

16. Termination

You may stop using TaxOikos at any time. We may suspend or terminate access for breach of these Terms, non-payment, or risk to the service or other users. Provisions that by nature should survive (including Sections 9–14, disclaimers, and limitations) survive termination.

17. Entire agreement; severability

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and TaxOikos regarding the service. If any provision is held invalid, the remainder remains in effect.
